Nexera Technologies has signed a letter of intent (LOI) with Nebo Holdings to potentially secure exclusive global distribution rights to Preempt OSINT, a darknet intelligence platform targeting data centres.

Under the proposed arrangement, Nexera could become the sole global reseller and distributor of Preempt OSINT for operators of data centres on a subscription basis, pending final agreement.

The platform has been designed to monitor closed forums, darknet markets and encrypted channels, identifying threat activity aimed at customers’ servers and issuing alerts directly to their security operations centres.

This would allow data centre operators to receive intelligence on potential threats through the platform, with Nexera managing customer contracts, relationships, invoicing, collections, and setting resale prices.

The LOI sets out a 36-month licence and distribution term, which could be extended by a further 24 months under certain conditions.

The contemplated agreement includes a one-off licence fee, continuing monthly support fees, and provision by Nebo of technical support, product training, and sales enablement services.

This arrangement remains conditional. Nexera and Nebo must complete a technical proof of concept to Nexera’s satisfaction, and both parties are required to carry out mutual legal, corporate, and compliance due diligence.

Any final licence and distribution agreement will also be subject to necessary internal, board, or shareholder approvals at each company.

While certain sections of the LOI are intended to be legally binding, other terms are described as statements of present intention.

Both firms have agreed to negotiate in good faith, aiming to finalise a definitive agreement within approximately two weeks of the LOI’s signing.

However, there is no assurance that a final agreement will be signed or that the envisaged commercial terms will be achieved. Nebo Holdings is the developer of the Preempt OSINT platform.
