The transaction includes five operational data centre facilities situated across Bandung, Greater Jakarta, Pekanbaru, and Surabaya, and remains subject to customary closing conditions.
PDG initially purchased the five facilities upon entering the Indonesian market in 2019, later investing in the properties to upgrade the portfolio.
The divestment allows the company to focus on its 400MW domestic hyperscale portfolio, which includes the JC2, JC3, and JC4 campuses.
PDG chairman, CEO and co-founder Rangu Salgame said: “From the outset of PDG’s founding, our strategy has been to enter a market, establish a strong operating presence, then expand for scale.
“In Indonesia, we entered the market through the acquisition of an established data centre portfolio, while investing to expand our capabilities and build a hyperscale business.”
SM+ will integrate the acquired data centre business into its existing platform and expects to improve service delivery, while supporting prospective growth opportunities.
Upon completion of this transaction, the company will maintain operational control over 31 facilities distributed across 25 cities and markets throughout Indonesia.
SM+ president director and group CEO Herson Suindah said: “This acquisition marks an important milestone in our journey to build Indonesia’s leading home-grown digital infrastructure platform.”
In May 2026,PDG secured around $856m in total financing to support the development of its 120MW JC3 campus in Indonesia.
That funding structure includes a fully underwritten $456m syndicated facility provided by DBS, HSBC, Maybank, SMBC, and Standard Chartered, together with an accordion facility of roughly $400m that is presently in progress.
Headquartered in Singapore, PDG develops and operates data centres that support cloud and AI infrastructure.
